WorldWatch is a web portal operated by World Travel, Inc. (‘World Travel,” “we” or “our” or “us”) which travelers, travel managers, and other authorized persons1 (“users,” or “you”) can access using the internet. Using WorldWatch, travel managers and other authorized personnel have access to relevant travel related content to assist them with the overall management of a corporate travel program, including but not limited to links to other internet sites and access to a survey view of travel segments (air/car/hotel) booked by travelers through World Travel, Inc. Please read these Terms & Conditions carefully before using WorldWatch. Your use of WorldWatch is expressly conditioned on your acceptance of the following terms. By using WorldWatch, you signify your assent to these Terms & Conditions. If you do not agree with any part of the following terms, you should not use WorldWatch.

These Terms & Conditions are governed by and will be construed in accordance with the laws of the United States and the Commonwealth of Pennsylvania. Any disputes arising under or in connection with these Terms & Conditions, or your access or use of WorldWatch, shall be subject to the exclusive jurisdiction of the State and federal courts located in Chester County, Pennsylvania.
1. What is WorldWatch?
WorldWatch is web portal that provides travelers and travel managers with access to relevant travel-related content, including traveler itinerary information, to assist them in their management of individual trips and more specifically, events that may have disrupted a planned trip.
WorldWatch provides users with the ability to store trip-related information in WorldWatch, access and share that information, receive trip updates, and monitor trip progress, including trip disruptions. in real time. For clarity, users cannot make or change travel reservations using WorldWatch. Users will have access to information to manage trip disruptions such as airport, flight route, and location status information and certain users (e.g., travel managers) will be able to view a global display of booked travel segments, based on World Travel, Inc’s books and records.
WorldWatch will process travelers’ itineraries that will include personal information. For more details on how World Travel, Inc. protects the privacy of this information, please review the accompanying Privacy Policy for WorldWatch.
2. Authority
In order to use WorldWatch, you must be an authorized person (e.g., a travel manager) for a company that has a valid contract with World Travel, Inc. for corporate travel reservation and management services. You (or your company) must have also agree to pay any and all fees (e.g., subscription or other fees) to allow authorized person(s) to access WorldWatch. If such fees are due and owing, and unpaid, World Travel, Inc. may immediately suspend your access to WorldWatch. For customers who no longer use World Travel, Inc.’s services, World Travel, Inc. will suspend all of their users’ access to WorldWatch on the day after the last day World Travel, Inc. is scheduled to provide services to that customer.
1. World Travel, Inc.’s corporate customers may authorize employees who do not travel to use WorldWatch.
3. Changes to These Terms & Conditions or WorldWatch
We may change or modify these Terms & Conditions from time-to-time without notice other than posting the amended Terms & Conditions to WorldWatch. The amended Terms & Conditions will automatically be effective when posted to WorldWatch. Your continued use of WorldWatch after any changes in these Terms & Conditions shall constitute your consent to such changes. World Travel, Inc. reserves the right to change, modify or discontinue, temporarily or permanently, WorldWatch (or any portion thereof), including any and all content processed by WorldWatch, at any time without notice. You agree that World Travel, Inc. shall not be liable to you or to any third party for any modification, suspension or discontinuance of WorldWatch (or any portion thereof).
4. Registration and Security
To ensure that only authorized users access WorldWatch, users must have a valid WorldWatch account created by a World Travel, Inc. system administrator. Users must provide World Travel, Inc. with their first name, last name, and email address. Users will also have an opportunity to create their own password as part of the account creation process.
If you wish to cancel a username or password, or if you become aware of any loss, theft or unauthorized use of a username or password, please notify us immediately by contacting support. We reserve the right to delete or change any username or password at any time and for any reason.
5. User Conduct
By using WorldWatch you agree not to:
• Interfere with the operation of WorldWatch or any user’s enjoyment of WorldWatch, including without limitation by (i) uploading or otherwise disseminating viruses, adware, spyware, worms, or other malicious code; (ii) attempting to collect personal information about users or third parties without their consent; or (iii) interfering with or disrupting any networks, equipment, or servers connected to or used to provide WorldWatch, or violating the regulations, policies, or procedures of such networks, equipment, or servers;
• Perform any fraudulent activity including impersonating any person or entity, claiming false affiliations, or accessing the accounts of others without permission;
• Attempt to do any of the foregoing in this section, or assist or permit any persons in engaging or attempting to engage in any of the activities described in this section;
• Use or access WorldWatch to impersonate any person or entity;
• Restrict or inhibit the ability of any other person or entity to access or use WorldWatch;
• Remove, obscure, or modify any copyright, trademark, or other proprietary rights notice from WorldWatch.
• Copy, translate, disassemble, decompile, reverse-engineer or otherwise modify any parts of any Application
Violation of any of the above may, at any time without prior notice, result in a warning, temporary limit, suspension or immediate termination of your account or your access to WorldWatch, reporting of your conduct to authorities, or legal action, as may be appropriate in the sole discretion of World Travel, Inc. You acknowledge that World Travel, Inc. is not responsible for and does not assume any liability for users’ acts or omissions, including, without limitation, with respect to the aforementioned activities.
6. External Links
From time to time, WorldWatch may include links to third party websites, applications, or systems. These links are provided for your convenience only and do not signify that we endorse such third party resources. You therefore acknowledge and agree that: (a) we are not responsible for such third parties or their websites, applications, or systems, including the terms on which such things are made available and the privacy policies of same, and do not control their content or availability; (b) we make no representation whatsoever, nor do we make any warranty, guaranty or condition, express or implied, in relation to any goods or services or information received from such third party resources; and (c) if you access any such third party resources, you do so entirely at your own risk.
7. Intellectual Property
You acknowledge that all materials, including WorldWatch's design, graphics, text, sounds, pictures, software and other files and the selection and arrangement thereof (collectively, “Materials”), are the property of World Travel, Inc. and/or its licensors, and are subject to and protected by United States and international copyright and other intellectual property laws and rights. All rights to Materials not expressly granted in these Terms & Conditions are reserved to their respective copyright owners. World Travel, Inc. authorizes you to use the Materials only for personal, non-commercial use, provided that you keep intact all copyright and other proprietary notices contained in the original Materials. Except as expressly authorized by these Terms & Conditions, you may not copy, reproduce, distribute, republish, download, perform, display, post, transmit, exploit, create derivative works or otherwise use any of the Materials in any form or by any means, without the prior written authorization of World Travel, Inc. or the respective copyright owner. In an absence of a written agreement, you may not modify or adapt the Materials in any way or otherwise use them for any public or commercial purposes. The trademarks, service marks, trade names, trade dress and logos (collectively, “Marks”) contained or described in WorldWatch are the sole property of World Travel, Inc. and/or its licensors and may not be copied, altered or otherwise used, in whole or in part, without the prior written authorization of World Travel, Inc. and/or its licensors. In addition, all page headers, custom graphics, button icons and scripts are the property of World Travel, Inc. and may not be copied, imitated or otherwise used, in whole or in part, without the prior written authorization of World Travel, Inc. World Travel, Inc. reserves the right to enforce its intellectual property rights to the fullest extent of the law.
8. Disclaimer
WorldWatch is made available to you on an “as is” basis. We disclaim and do not accept any liability to you in respect of WorldWatch, your use of it, or otherwise. It is your responsibility to ensure that WorldWatch is suitable for your intended purposes. We accept no liability as to the suitability or fitness of WorldWatch in meeting your needs and we exclude to the fullest extent permissible by law all express or implied warranties, representations, guarantees, conditions or terms. We give no warranty: (a) that access to WorldWatch will be uninterrupted or error-free; (b) that WorldWatch and/or the computer server or related resources from which WorldWatch is made available are free from viruses or other harmful components; (c) as to the accuracy, content, timeliness, completeness, reliability, quality or sustainability of any content in or delivered by the App or otherwise made available in conjunction with WorldWatch.
You acknowledge and agree that the operation of WorldWatch is dependent upon the proper and effective functioning of the internet and other third party equipment and services, and that we do not guarantee and will not be liable for these in any way.
We will not be liable to you for any special, indirect, or consequential losses or damages, or any loss of data, profits, revenues, business or goodwill.
9. User Comments, Feedback and Other Submissions
We do not solicit, nor do we wish to receive any confidential, secret or proprietary information or other material from you either through WorldWatch, any of its services, by e-mail, via social media or in any other way. Unless otherwise expressly agreed in writing prior to your submission to us, any comments, feedback, information or other material submitted or sent to us will be deemed not to be confidential or secret. By submitting or sending comments, feedback, information or other material to us you represent and warrant that the information and material is original to you and that no other party has any rights to the information or material. All comments, feedback, information or other material submitted shall be and remain property of World Travel, Inc. and we shall have the unrestricted, worldwide right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such material and information (in whole or part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed.
10. Notification of Copyright Infringement Under the Digital Millennium Copyright Act (DMCA)
We respect the intellectual property rights of others and require that the people who use WorldWatch do the same. We may terminate the use privileges of users who are repeat infringers of intellectual property rights. Accordingly, you may not store any material or content on, or disseminate any material or content over, WorldWatch in any manner that constitutes an infringement of third party intellectual property rights, including rights granted by U.S. copyright law. If you believe in good faith that your work has been copied in a way that constitutes copyright infringement, please forward the following information to the Copyright Agent named below:
• Your address, telephone number, and email address;
• A description of the copyrighted work that you claim has been infringed;
• A description of the allegedly infringing material and information reasonable sufficient to permit us to locate the material;
• A statement by you that you have a good faith belief that the disputed use is not authorized by you, the copyright owner, its agent, or the law;
• An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; and
• A statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.
